Material Fact – Absence of report of the independent auditors in 3Q18 financial statements

Tegma Gestão Logística S.A. (“Company” – B3: TGMA3), in accordance with Article 2^nd of the Brazilian Securities and Exchange Commission (“CVM”) Rule No. 358, dated as of January 3, 2002, as amended, hereby informs its shareholders and the market in general that the quarterly financial information of September 30, 2019 was published on the date hereof, in compliance with its Annual Calendar, without the pertinent report of the independent auditors.

The lack of publication of the report of the independent auditors arises from requests made by the auditors in relation to the investigation that gave rise to the so-called “Operação Pacto”, subject matter of the Material Facts dated October 17 and 18, 2019, which requests have been answered to the audit company subject to limitations provided for in applicable law. Certain matters to be made available to the auditors which require prior authorization from the competent authorities remain pending.

The Company undertakes to endeavor its best efforts to enable the independent auditors to finalize their reporting procedures as soon as practicable and hereby confirms it does not anticipate any material changes to the financial information published on the date hereof.
