Material Fact – Incorporation of wholly owned Subsidiary

Pursuant with the provisions of CVM Resolution No. 44, of August 23, 2023, as amended, TEGMA GESTÃO LOGÍSTICA S.A. (“Company”), hereby informs its shareholders and the market in general that its Ordinary and Extraordinary General Meeting approved, on this date , the incorporation, by the Company, of its wholly-owned subsidiary CATLOG LOGÍSTICA DE TRANSPORTES LTDA., a limited company, with headquarters in the City of São Bernardo do Campo, State of São Paulo, registered with the CNPJ under nº 02.096.806/0001-50 (“ Incorporated” and “Incorporation”, respectively).

In view of the approval of the Incorporation on this date, the Company informs that the net equity of the Incorporated to be transferred to the Company will be at book value, with effect from May 1, 2024, not resulting in an increase in the Company’s capital or in changing the shareholding held by the Company’s shareholders.

The Incorporation is aligned with the strategy of optimizing the Company’s corporate and business structures.
