Notice to the Market – Change in the composition of the Board of Directors

TEGMA GESTÃO LOGÍSTICA S.A. (“Company” – B3: TGMA3), informs its shareholders and the market in general that the Board of Directors has received letters of resignation from Mr. Mário Sérgio Moreira Franco as a full member of the Board of Directors, and from Mr. Paulo Ernesto do Valle Baptista as an alternate member of the Board of Directors.

Furthermore, the Company has also received a letter from the controlling shareholder COIMEX EMPREENDIMENTOS E PARTICIPAÇÕES LTDA. (“Coimex”) requesting the convening of an extraordinary shareholders’ meeting to replace Mr. Evandro Luiz Coser, who will be substituted from his position as board member by indication of Coimex.

Due to these substitutions, the controlling shareholders have indicated the following new effective and alternate members to be included in the management’s proposal for the shareholders’ meeting to be convened in due course to complete the current term:

  • Mário Sérgio Moreira Franco will be replaced by Mr. Francisco Creso Junqueira Franco Júnior, his current alternate;
  • Felipe Ferraz Franco will be elected as alternate member for Mr. Francisco Creso Junqueira Franco Júnior;
  • Paulo Ernesto do Valle Baptista will be replaced by Mr. Lucas Passos Schettino Moreira as alternate member for Mr. Fernando Luis Schettino Moreira;
  • Evandro Luiz Coser will be replaced by Ms. Maria Bernadette Barbieri Coser de Orem, current alternate for board member Orlando Machado Júnior, and she will also be elected as Vice President of the Board. As a result of Mr. Evandro’s replacement by Ms. Maria Bernadette, Mr. Jose Alfredo de Freitas will continue to serve as alternate for this position;
  • Leonardo Forzza Coser will be elected as alternate for Mr. Orlando Machado Junior, considering that Ms. Maria Bernadette will become an effective member.
