Notice to the Market – Change of Independent Auditor

Tegma Gestão Logística S.A. (“Tegma” or “Company”), in compliance with the provisions of article 28 of CVM Resolution No. 23, of February 25, 2021 (“CVM Resolution 23/21”), hereby informs its shareholders and the market in general that the Company’s Board of Directors, at a meeting held on September 26, 2024, approved the hiring of Grant Thornton Auditores Independentes Ltda., (“Grant Thornton”), to replace BDO RCS Auditores Independentes SS Ltda., (“BDO RCS”), as the Company’s new independent auditor.

The replacement of the independent auditor aims to comply with the provisions of article 31 of CVM Resolution 23/21, which determines the rotation of independent auditors every five years and had the consent of BDO RCS.

Grant Thornton will begin providing independent audit services for the quarterly financial information (ITR) for the three-month period ended March 31, 2025.
