Notice to the Market – Announcement of approval of investments for 2026/2027

TEGMA GESTÃO LOGÍSTICA S.A. (“Tegma” or the “Company” – B3: TGMA3) hereby informs the market that, at a Board of Directors’ Meeting held on October 22, 2026, investments totaling R$ 52 million were approved, to be carried out by 2027. Through this Notice to the Market, the Company provides additional clarification, as detailed below:

  • Paving of the Cabo de Santo Agostinho/PE vehicle yard

The first investment consists of R$ 12 million to pave a Tegma-owned site located in the city of Cabo de Santo Agostinho, in Pernambuco, 12 km from the Port of Suape. Scheduled for completion in June 2027, the new vehicle yard will increase capacity to meet demand for domestically produced vehicles and support vehicle import operations by Chinese automakers, which already account for nearly 20% of nationwide vehicle registrations and have significant growth prospects.

  • Expansion of the car-carrier trailer fleet for vehicle transportation between Belém and Manaus

The second investment involves the approval of R$ 22 million for the purchase of car-carrier trailers for use in river transportation operations between Belém-PA and Manaus-AM. In this operation, the car-carrier trailers, loaded with vehicles and without tractor units, are loaded onto ferries for transportation between the two locations. The expansion of operating capacity accompanies the growth in vehicle sales in the State of Amazonas, which have increased by 48% since 2024, compared with 18% growth in nationwide sales (as of 3Q26). This expansion will improve operational performance and will be implemented from late 2026 through 2027, subject to equipment availability in the market.

  • Expansion of Fastline’s transportation equipment fleet

The third investment involves allocating R$ 18 million to expand the transportation equipment fleet of Fastline, a business unit specializing in logistics for registered vehicles, used vehicles and motorcycles. Established in 2018, the operation, together with the recently acquired Buskar.me, currently generates net revenue of R$ 76 million. Expected to be completed by June 2027, the investment will include the purchase of tractor units, trailers, flatbeds and cage carriers (the latter two to provide operational flexibility in urban centers). The expansion of the owned fleet will enhance operational safety and increase the ability to capture new markets. Nevertheless, Fastline will maintain an “asset-light” strategy, with more than 70% of its revenue derived from outsourced freight services.

It should be noted that all investments approved by the Company are subject to return analyses, in accordance with Tegma’s stringent cost-of-capital criteria.
