Notice to the Market – Independent Board Member resignation

Tegma Gestão Logística S.A. (“Tegma” or the “Company” – B3: TGMA3), hereby informs its shareholders, investors and the market in general, that on this date the Company’s board of directors received a letter of resignation from Mr. Paulo Cezar da Silva Nunes to the position of Independent Board of Director Member of the Company.

The Board of Directors’ members and the Company’s Chief Executive Officer are grateful to Mr. Paulo Cezar da Silva Nunes for the two years of dedication and valuable contribution to the Company.

Also, as established in Company’s Bylaws in Paragraph One of Article 21, the alternate member of Mr. Paulo Cezar, Mr. Décio Carbonari de Almeida, will now occupy the position of Independent Board Member.

Mr. Décio was Chairman of Volkswagen Serviços Financeiros, company formed by Banco Volkswagen, Volkswagen Corretora de Seguros and Consórcio Nacional Volkswagen during the period of 2003 until 2016, currently is the Chairman of the Advisory Board of COCAL Comércio e Indústria Canaã Açúcar e Álcool Ltda since September 2016, Chairman of the Advisory Board of CAEDU Comércio Varejista de Artigos do Vestuário Ltda since September 2018, Chairman of the Advisory Board of GOOP Distribuidora Automotiva Ltda since November 2018 and Chairman of the Advisory Board of Group STÉFANI RIBEIRÃO DIESEL since May 2019. He holds a degree in business administration in Escola de Administração de Empresas de São Paulo, from Fundação Getúlio Vargas; a Master’s degree also in Escola de Administração de Empresas de São Paulo; Skills, Tools and Competences, by J.L. KELLOGG School of Management at Northwestern University (USA), Fundação Dom Cabral (Brazil) and INSEAD Business School (França).
