NOTICE TO THE MARKET

São Bernardo do Campo, November 06, 2015 – Tegma Gestão Logística S.A. (“Tegma” or the “Companhia” – Bovespa: TGMA3), announces to its shareholders, wich, on the date, the board took note of the resignation of Mr. Wellington Monteiro Costa to the position of director with no designation, as resignation letter.

The members of the Board and the companys CEO recorded its appreciation to Mr. Monteiro by years of dedication and valuable contribution to the Company during the period in which he exercised his functions, wishing him best wishes for success in his new professional challenges. The Company also communicates that the members of the Board of Directors elected today Mr. Marcos Roberto Tinti to replace Mr. Monteiro.
