Material Fact – Board Meeting concerning the Business Combination Proposal Tegma JSL

Tegma Gestão Logística SA (“Tegma” or “Company”) following the Material Fact filled this morning, it informs that the Board of Directors met to examine the unsolicited proposal sent by JSL SA (“Proposal”) and determined (i) the hiring of Trindade Sociedade de Advogados office to assist the Company’s management regarding the Proposal’s legal aspects; (ii) the selection and subsequent hiring of a tier-one financial institution to assess the Proposal’s economic and market aspects; and (iii) that the Executive Board begin analyzing the Proposal’s terms and conditions and report its conclusions to the Board of Directors in due course.
