Notice to the Market – Dividends and Interest on Capital

Tegma Gestão Logística SA (“Tegma” or “Company” – B3: TGMA3) hereby informs the shareholders and the market in general that, at the Annual Shareholders’ Meeting held on April 13, 2022, it was approved the distribution of dividends and Interest on Capital of based on net income for the year ended on December 31, 2021, as follows:

R$ 22,338,139.13, corresponding to R$ 0.3387760680 per share of the Company, for the distribution of dividends and interest on equity to the Company’s shareholders, of which R$ 16.753.604,35 in dividends, corresponding to R$ 0.2540820510 per share of the Company, and R$ 5,584,534.78 in interest on equity, corresponding to R$ 0846940170 per share of the Company, equivalent to R$ 0.0719899145 per share of the Company, net of income tax at source, except for shareholders who are proven to be exempt or immune.

All such holders of common shares of the Company on April 13, 2022 will be entitled to receive said benefits, and the Company’s shares will be traded “ex-dividends and interest on capital” as of April 14, 2022.

Payments will be settled on April 27, 2022, according to the following instructions: (1) the stockholders of the fiduciary custody service will have their dividends credited according to the procedures adopted by B3 S.A. – Brasil, Bolsa, Balcão; (2) the payment to the other shareholders will be made through credit in the current bank account informed by the respective shareholder to Itaú Corretora de Valores S.A., as the depositary financial institution of the Company’s shares; and (3) shareholders who do not inform bank data or do not keep current account in Financial Institution must present themselves at Banco Itaú, with identification document and “Payment Notice”, to be sent by Mail those with an updated address in the register of Itaú Corretora de Valores SA.
