Material Fact

Tegma Gestão Logística SA (“Tegma” or “Company”), in compliance with the provisions of CVM Instruction 358/2002, as amended, in addition to the material fact disclosed on October 17, 2019, communicates to its shareholders and to the market that, yesterday, the Company was subject of a data and documents search warrant and seizure authorized by the Criminal Court of São Bernardo do Campo city, due to investigation that, until then, was unknown by the Copmany and was initiated by a “Partial Leniency Agreement” signed by one of Tegma’s competing companies in the brand new vehicle transportation market.

The investigation aims to investigate alleged concerted action in the “transportation of imported brand new vehicles, especially for the customer Kia, from the port to the Interior Customs Station”, an operation that was discontinued by the company in 2015, and that at that time represented a derisory volume for the company.

This is not the first time that the same competing company has attempted to involve Tegma’s name in fallacious allegations of breach of the economic order, and it is true that on all other occasions, the proceedings initiated by the lenient that have carried the same kind of accusations have been systematically filed – including by CADE (Administrative Council for Economic Defense), by the Federal Public Prosecution Service and by the State Public Prosecution Service – always proving the lack of fundamentals of these charges.

Tegma reiterates that it has not committed any infringement of the economic order and that it trusts the institutions and the courts, certain that it will prove, by all the competent authorities, that the accusations attributed to it are untrue.

Tegma reports that the search warrant and seizure has not affected its operations and will keep the market informed about the progress of the investigation.
